This is a working template prepared for review by qualified counsel in the United States, India, the United Kingdom and the European Union. It is not yet in force and creates no rights or obligations until a final version is published.
- AlgoNexus provides research, paper trading and — only where we are authorised — trade execution through a broker account you own. We never hold your money or securities.
- Nothing we show is a guarantee. You can lose money, including all of what you invest.
- In Autopilot, we act only inside the investment policy you sign, and you can pause or stop it at any time.
- Subscriptions renew until you cancel. If a subscription ends, new orders stop; we never sell your holdings because of it.
- Your local consumer rights always apply. The regional addenda at the end explain what differs where you live.
The summary helps you navigate; the sections below are the document.
1About these Terms
These Terms of Service (the “Terms”) are an agreement between you and the AlgoNexus entity that serves your country (“AlgoNexus”, “we”, “us”). They apply to the website at algonexus.trade, the web dashboard, the mobile and desktop apps, Nexus Assist and the AlgoNexus APIs (together, the “Service”).
| Legal entity | [AlgoNexus legal entity name], a company incorporated in [jurisdiction] |
| Company number | [registration number] |
| Registered office | [registered office address] |
| Website | www.algonexus.trade |
Other documents form part of these Terms: the Privacy Notice, Risk Disclosure, Acceptable Use Policy, Refund & Cancellation Policy and, for developers, the API & MCP Terms. If they conflict, the regional addendum for your country prevails, then these Terms, then the other documents.
2Eligibility and your account
- You must be at least 18 (or the age of majority where you live) and able to enter a binding contract. Custodial and joint accounts are offered only where we say so.
- You must give accurate information, including for identity verification (KYC), and keep it up to date. Live features are available only after verification is complete.
- You are responsible for keeping your sign-in methods secure. Use a passkey or multi-factor authentication. Tell us at once at security@algonexus.trade if you suspect misuse.
- The Service is not available to residents of sanctioned jurisdictions or to people on sanctions lists.
3What AlgoNexus is — and is not
- Research and tools. We provide analysis, goal-feasibility estimates, simulated (“paper”) trading, reports and software that can transmit instructions to a brokerage account you hold.
- Not a broker or custodian. Your account, cash and securities are held by your broker. Your broker executes, clears and settles orders under its own terms, and its investor-protection arrangements apply.
- Regulated features are switched off until authorised. We do not currently hold investment-adviser, research-analyst, portfolio-management or investment-firm authorisation in any market (see Regulatory Status). Until we do, the Service operates on paper and its output is general information, not a personal recommendation.
- When an authorisation is granted for your market, we will tell you what changes and ask for any consents the law requires before live features start.
4Copilot, Autopilot and your investment policy
- Copilot proposes trades. No order is sent until you approve it, and proposals expire if you do not act.
- Autopilot may send orders without asking you each time, but only within the written investment policy you review and e-sign (for example position limits, cash reserve, allowed instruments, order limits and drawdown rules). Each change creates a new version.
- Every order — in either mode — is checked by an automated risk gate. If a check cannot be completed, the order is not sent.
- You may pause Autopilot, or use the kill switch to stop all new orders, at any time. Stopping does not close existing positions unless you instruct your broker or us to do so.
5Connecting a broker
- You connect a broker through its official authorisation flow or API keys you create. We never ask for your broker password, PIN or one-time codes.
- You authorise us to read your account data and, for live features where available, to transmit orders within your policy. You can revoke access at your broker or in Settings at any time.
- Brokers may change or withdraw their APIs, require daily re-authorisation or reject orders. We are not responsible for a broker’s acts, omissions, outages or fees.
6Your responsibilities
- Read the Risk Disclosure and only invest money you can afford to lose.
- Keep your policy, risk profile and personal circumstances up to date; our output depends on them.
- Review your reports and your broker statements, and tell us promptly about anything that looks wrong.
- Comply with the Acceptable Use Policy and all laws that apply to you, including tax reporting.
7No guarantee of returns
Investments can go down as well as up. Projections, goal probabilities, simulations, back-tests and paper results are estimates with significant limitations and are not promises or forecasts of future results. We do not guarantee any return, any level of performance or that you will reach a goal, and no employee or AI output may make such a promise on our behalf.
8AI-generated output
- Parts of the Service are generated by machine-learning models, including large language models. They can be wrong, incomplete or out of date, and can state errors confidently.
- Models never place orders directly. Orders are created only through the risk-checked order service described above.
- You can ask for a human review of a decision that significantly affects you; see the AI Transparency Statement.
9Trials, subscriptions and taxes
- New accounts may receive a 14-day trial. On the web no payment card is needed for the trial; in the iOS and Android apps an introductory offer is managed by Apple or Google.
- Paid plans renew automatically for the same period until cancelled. Prices include or exclude taxes as shown at checkout. We will give you notice before a price change takes effect, and you may cancel before it does.
- If a trial ends or a payment fails and is not resolved after our retry period, live features and new orders are suspended. Your reports, data export and read-only dashboard remain available. We never sell your holdings or abandon open orders silently because a subscription ended; we cancel pending AlgoNexus orders where possible and tell you exactly what remains open at your broker.
- Cancellation and refunds are covered by the Refund & Cancellation Policy.
10Intellectual property and licence
We and our licensors own the Service, including the software, models, model weights, reports’ format and branding. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service for your own investing. Reports generated for you are yours to keep and share for personal purposes, subject to third-party market-data restrictions. Feedback you give us may be used without obligation to you.
11Suspension and termination
- You may close your account at any time in Settings. We will keep records we are legally required to keep (see the Privacy Notice).
- We may suspend or end your access, with notice where lawful and practical, if you breach these Terms, if required by law or a regulator, to protect you or others from harm or fraud, or if we withdraw the Service from your market.
- On termination, the order-safety rules in section 9 apply: we stop new orders and tell you what is open; we do not liquidate your positions.
12Disclaimers
Except where the law does not allow it, the Service is provided “as is” and “as available”. We do not warrant that it will be uninterrupted, error-free or that market data will be accurate or timely. Nothing in these Terms excludes or limits warranties, conditions or rights that cannot be excluded by law, including your statutory consumer rights.
13Limitation of liability
- Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be limited — including duties we owe under financial-services regulation once authorised.
- Subject to that, we are not liable for investment losses resulting from market movements, from decisions you made, from orders you approved, or from acts and omissions of your broker, exchanges or data providers.
- Subject to the above, our total liability to you in any 12-month period is limited to the greater of the fees you paid us in that period and [amount per jurisdiction].
The regional addenda may vary this section for consumers.
14Changes to the Service and these Terms
We may change the Service to improve it, for security, or to comply with law. We will give at least 30 days’ notice of material changes to these Terms that are to your disadvantage, unless a change is required sooner by law. If you do not agree, you may cancel before the change takes effect and receive a pro-rata refund of any prepaid fees for the remaining period.
15Governing law and disputes
